Meaning of Material Fact
The meaning of the term depends largely upon the context. In insurance law the suppression of a material fact by an insured at the time of entering into the contract of insurance will void the contract; in this context, a material fact is one the knowledge or ignorance of which would naturally influence the judgment of the underwriter in making the contract at all or in estimating the degree and character of the risk or fixing the rate of the premium. In the context of granting summary judgments, a material fact which precludes granting the same is one upon which the outcome of the litigation depends; a fact which has legal probative force as to a controlling issue in the dispute. See federal Rule of civil procedure 56, Appendix 2. See also, Jacobsen v state , 569 P.2d 1152, 89 Wash.2d 104. In the context of securities and exchange Act, a material fact which an insider has to disclose in the sale or issuance of stock means a fact to which a reasonable man would attach importance in determining his choice of action in the transaction in question. See Securities and Exchange commission v Great Am. Industries, Inc., (C.A.2) 407 F.2d 453.
